What is a legal address and why is it mandatory?

Under Bulgarian commercial law, every company registered in Bulgaria — whether an OOD, EOOD, AD, or branch of a foreign company — is required to have a registered seat and address (седалище и адрес на управление) on Bulgarian territory. This address is entered into the Bulgarian Commercial Register and serves as the company’s official point of contact for all state, judicial, and regulatory correspondence.

For foreign entrepreneurs who register a Bulgarian company without maintaining a physical office in Bulgaria, our legal address service provides a fully compliant solution. The address is used in the Commercial Register, on company documents, and for all official purposes — while mail is handled, scanned, and forwarded to you wherever you are in the world.

LEGAL REQUIREMENT: Article 13 of the Bulgarian Commercial Act (Търговски закон) requires every Bulgarian commercial entity to have a registered seat and address on Bulgarian territory. This is not optional. A company without a valid, active registered address cannot be registered, cannot maintain its registration, and risks deregistration by the Registry Agency.

Why the registered address matters

The legal address is more than an administrative formality. It plays a critical role in four key areas of your company’s legal existence and daily operations.

Required by Bulgarian commercial law

Article 13 of the Commercial Act (Търговски закон) requires every Bulgarian commercial entity to have a registered seat and address (седалище и адрес на управление) on Bulgarian territory. This is a mandatory registration requirement — not optional.

Publicly listed in the Commercial Register

The legal address is displayed in the public-facing Bulgarian Commercial Register entry for your company. It is used by courts, state authorities, banks, and counterparties to identify and contact your company.

Used for all official state correspondence

Tax authority notices, court documents, regulatory correspondence, and Social Security communications are sent to the registered address. Mail that cannot be delivered to this address may be deemed legally served.

Required for bank account opening

Bulgarian banks require a valid registered address before opening a corporate current account. Our legal address satisfies this requirement for all major Bulgarian banks.

Available locations

Sofia

Capital city and primary business hub. Most prestigious business addresses available. Proximity to all central state authorities, courts, and banking headquarters. Ideal for companies operating nationally or internationally.

Plovdiv

Bulgaria’s second-largest city and major industrial and trade centre. Strategic location on the Sofia–Istanbul corridor. Significant manufacturing, logistics, and agricultural business community.

Varna

Bulgaria’s primary Black Sea port city and maritime trade hub. Strong tourism, logistics, and IT sectors. Popular for companies with shipping, import/export, and hospitality operations.

Burgas

Major Black Sea port and southern hub. Close to the Turkish border and key for Balkan trade routes. Growing business community in logistics, energy, and maritime sectors.

Mail handling process

Every item of mail received at your registered address is processed through a structured four-step workflow. Nothing is discarded or ignored — every item is logged and brought to your attention.

1 — Mail arrives

Official letters, court documents, tax notices, bank correspondence, and any other mail addressed to your company at the registered address is received by our team.

2 — Identification & logging

Each item is logged with the sender, date of receipt, and type of document. Urgent or time-sensitive items (court notices, tax authority letters) are flagged immediately.

3 — Email notification

You receive an email notification within 1 business day of receipt, including a description of the item and its sender. For urgent items, notification is same-day.

4 — Scanning & forwarding

Upon your request, the full document is scanned and sent to you by email. Physical forwarding by international courier is available on request (postage charged at cost).

IMPORTANT — LEGAL MAIL: Official letters from the Bulgarian National Revenue Agency (НАП), courts, the Registry Agency, or Social Security (НОИ) are time-sensitive and may carry legal consequences if not acted upon promptly. Our team flags all such items as urgent and notifies you on the same day of receipt. It is essential that you respond to official correspondence within the stated deadlines.

Who needs a legal address service?

Our legal address service is designed for any foreign founder or internationally managed company that does not maintain a physical office in Bulgaria from day one. The six most common client profiles are listed below.

  • Foreign founders without a physical Bulgarian office — Any foreign national registering a Bulgarian OOD, EOOD, or branch who does not intend to lease physical office space from day one. This covers the vast majority of our international clients.
  • Remote-operated Bulgarian companies — Companies managed entirely from abroad, using Bulgaria as their EU base for invoicing, contracting, or holding — without a local team or office.
  • Startups & early-stage businesses — Entrepreneurs testing the Bulgarian market who want minimal fixed costs while maintaining full legal compliance. The legal address satisfies all mandatory requirements at the lowest possible cost.
  • Companies pending office lease — Businesses that plan to lease physical office space in Bulgaria but need a compliant registered address immediately — for registration purposes or during the search for suitable premises.
  • Branch offices of foreign companies — Foreign company branches are legally required to have a Bulgarian registered address. Our service satisfies this requirement for all branches registered at our offices.
  • E-commerce & digital service businesses — Online businesses, SaaS providers, and digital service companies that operate without a physical location but require an EU-compliant legal entity with a registered Bulgarian address.
